In this agreement, Estatelio means Party A and J Prime means Party B. It is written to be read once and understood — there is nothing in it that is not on this page.

What this covers
Estatelio introduces clients who want to rent or buy property in Thailand. J Prime does the local work — viewings, negotiation and paperwork — and completes the transaction.

How the fee is split
On any transaction that comes from an Estatelio introduction, the commission or fee is split equally: 50% to Estatelio and 50% to J Prime. This applies to rentals and to the sale of a unit, on the same terms.

Introduced clients stay Estatelio clients
A client introduced by Estatelio remains an Estatelio client. The introduction is of the client, not of a particular unit or project — it stands for every transaction that client goes on to do through J Prime, whatever they end up taking.
So if Estatelio sends a client to view a unit in one project and the client instead takes a different unit in that project, a different project that J Prime recommends, or any other property J Prime shows them, that transaction still comes from the Estatelio introduction and the fee on it is split under clause 2 in full.
The same applies to every later transaction by that client: a lease renewed at the same property, a move to a different property, a property in a different location or development, an additional property, or a purchase following a rental. It makes no difference whether the transaction is a rental or a sale, or how it comes about.
This is not limited to a fixed period, and it continues even if this agreement has ended in the meantime.

Payment
Fees are settled in full — there are no instalments. Whichever side receives the fee pays the other its half within 5 working days of receiving it. Estatelio sometimes collects the fee from the client upfront, in which case Estatelio is the one paying.
Bank details are exchanged once the business is concluded and the payment is ready to be made.

What counts as an introduction
An introduction is made when Estatelio sends J Prime the client's name and contact details — by email, LINE, WhatsApp or any other method the two of us are using — and J Prime confirms receipt the same way. That exchange is the record. The client remains Estatelio's client.

How long it runs
This agreement starts on the date it is signed and runs to 31 December 2027. Either side may end it at any time by writing to the other — no notice period and no reason required. Ending it does not affect transactions already introduced, or the continuing entitlement on introduced clients under clause 3 — both are still paid under clause 2.

Costs
Each side covers its own costs. Neither charges the other anything beyond the split in clause 2.

How we work together
Neither side is required to work exclusively with the other. We are independent companies: this is not a partnership, joint venture or employment, and neither may sign or commit to anything on the other's behalf. Each side holds its own licences and is responsible for its own compliance and taxes.

Client information
Client details shared under this agreement are used only for the transaction they relate to, and are not passed to anyone else without permission.

Governing law
This agreement is governed by the laws of Singapore, and the courts of Singapore have jurisdiction over any dispute arising from it.

Changes
Any change to this agreement is agreed in writing by both sides.
